These Terms & Conditions explain the terms that apply when a coach or client uses Nia. Nia is a mobile AI companion configured and overseen by coaches to support clients between sessions.
1. The service and our roles
Nia provides software for coach-led support, including conversations, check-ins, exercises, homework activity, and coach-facing summaries or insights where enabled. A coach chooses how Nia is configured and remains responsible for the coaching relationship, professional judgment, and decisions made using information from the service. Nia supports, and does not replace, the coach.
2. Eligibility and accounts
You may use Nia only if you can enter into a binding agreement and are permitted to use the service by the coach or organization that invited you. Account information must be accurate and kept current. Keep your login details secure and tell the relevant coach or Nia through the contact method on the Nia website if you believe an account has been used without permission. A coach or organization may manage access for the clients it invites.
3. Coach responsibilities and client authorization
Coaches are responsible for having the authority and any required consent to share with Nia the client information, goals, context, preferences, exercises, homework, approach, tone, principles, and boundaries they provide. Coaches must inform clients how Nia is used, including the role it plays and the kinds of activity or insights it may create. Coaches should use appropriate judgment about what they provide and how they act on Nia outputs.
4. Acceptable use
Use Nia lawfully and respectfully. Do not misuse, disrupt, probe, or attempt to gain unauthorized access to the service or another person’s account; submit malicious code or unlawful, infringing, or harmful material; impersonate another person; or use Nia to make decisions where automated output is not appropriate. Do not use Nia for emergencies, crisis intervention, diagnosis, or treatment.
5. AI and professional-care limits
AI responses may be inaccurate, incomplete, out of date, or unsuitable for your circumstances. Review important information and ask your coach or another qualified professional when appropriate. Nia is not medical or mental-health treatment, crisis support, or an emergency service, and does not provide a substitute for professional care. If you may be in immediate danger or need urgent help, contact local emergency services or an appropriate crisis resource. We do not guarantee particular coaching, health, or other outcomes.
6. Subscriptions, Stripe, and cancellation
Coaches may purchase recurring subscriptions. The applicable price and billing cycle are shown at purchase. Subscriptions renew until cancelled. Unless the checkout or plan terms say otherwise, cancellation takes effect at the end of the current billing period, and access may continue until then. Fees already charged are non-refundable except where required by law or expressly stated. Stripe processes payment details for purchases; Nia may receive billing and subscription metadata, but Nia does not claim to store full card details. Taxes or other charges may apply where shown at checkout.
7. Content and intellectual property
You retain rights in information and content you submit, subject to the rights of others. You give Nia the limited permission needed to host, process, display, and generate outputs from that content to operate and provide the service. Nia and its licensors retain rights in the service, software, design, and branding. You may not copy, modify, or distribute those elements except as allowed by law or with permission.
8. Private beta and service changes
Nia is currently offered as a private beta. Features, workflows, availability, and limits may change as we learn and improve the service. We may add, modify, suspend, or discontinue features, including on a temporary basis. We do not guarantee uninterrupted, error-free, or always-available access.
9. Privacy
Our Privacy Policy describes information Nia handles, how it is used, and choices that may be available. Depending on the arrangement and configuration, a coach or organization may have its own responsibilities and policies for client information.
10. Suspension and termination
Access may be suspended or ended if these Terms are breached, an account presents a security or legal risk, a coach or organization withdraws access, or the service is changed or discontinued. You may stop using Nia at any time. Provisions that by their nature should continue, including ownership, disclaimers, limitations, and applicable payment obligations, will continue after termination.
11. Disclaimers and liability
To the extent permitted by law, Nia is provided on an “as available” basis without warranties that it will be accurate, suitable, secure, or uninterrupted. We are not responsible for decisions made solely from AI output or for the acts or omissions of a coach or user. To the extent permitted by law, Nia will not be liable for indirect, incidental, special, consequential, or punitive loss, or loss of data or opportunity, arising from use of the service. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
12. Changes to these Terms
We may update these Terms as Nia evolves or legal requirements change. We will post the updated version and change the date above. Continued use after an update means the updated Terms apply, to the extent permitted by law.
